1. Introduction

Welcome to the Kordica Subscription Service (“Service”). By accessing or using our Service, you agree to be bound by these Terms of Service (“Terms”). If you do not agree with any part of these Terms, you must not use our Service.

2. Service Description

The Kordica Subscription Service provides users with monthly communication training, access to a resource library, one-on-one consultations, and access to community features such as message boards, networking opportunities, and a community directory. The Service is available on an annual subscription basis.

3. Eligibility

To use our Service, you must be at least 18 years old and capable of entering into a binding agreement. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5. Subscription and Payment

The Service is offered on a subscription basis for a fee per year, running from September 1 to August 31. Payment must be made offline as per the instructions provided during registration. Your subscription will be terminated if payment is not received and confirmed within the specified time frame.

6. School and School District Subscriptions

Schools or school districts (“Subscribers”) are the primary subscribers to the Service. Subscribers can designate individual users within their organization to access the Service. Subscribers have the authority to designated users added or removed at any time. It is the responsibility of the Subscriber to manage user access and ensure compliance with these Terms by all designated users.

7. User Shared Content

Users may share content such as posts, comments, messages, and other materials (“User Content”) on message boards and other community features. By sharing User Content, you grant Kordica a non-exclusive, worldwide, royalty-free, perpetual, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media.

8. Community Features

• Message Boards and Networking: You agree to use the message boards, networking opportunities, and other community features in a respectful and lawful manner. Harassment, abuse, and any form of offensive behavior are prohibited.
• Community Directory: By joining the Service, you consent to be listed in the community directory, which is accessible to other subscribers.
• User Information Monetization: By using the Service, you agree that Kordica may use, share, and monetize aggregated and anonymized user information for business and marketing purposes.

9. Prohibited Activities

You agree not to engage in any of the following activities:

• Violating any applicable laws or regulations.
• Posting or transmitting content that is infringing, defamatory, obscene, or otherwise objectionable.
• Impersonating any person or entity or misrepresenting your affiliation with any person or entity.
• Engaging in unauthorized advertising or spam.
• Attempting to interfere with the proper functioning of the Service.

10. Termination

Kordica reserves the right to terminate or suspend your account and access to the Service, without prior notice or liability, for any reason, including if you breach these Terms. Subscribers also have the authority to terminate or suspend access for their designated users at any time. Upon termination, your right to use the Service will immediately cease.

11. Disclaimers and Limitation of Liability

The Service is provided on an “as-is” and “as-available” basis. Kordica makes no warranties, express or implied, regarding the Service, including but not limited to its accuracy, reliability, or availability. To the maximum extent permitted by law, Kordica shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Service.

12. Indemnification

You agree to indemnify, defend, and hold harmless Kordica, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your use of the Service or your violation of these Terms.

13. Changes to the Terms

Kordica reserves the right to modify these Terms at any time. We will provide notice of any changes by posting the new Terms on the Service. Your continued use of the Service after the changes become effective constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Kordica is headquartered, without regard to its conflict of law provisions.
